Terms of Service

1. Agreement to Terms

By accessing or using KodiBase (“the Service”) — operated by KodiBase (“we”, “our”, “us”) — you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Who Can Use KodiBase

You must be at least 18 years old and have the legal authority to enter into contracts in your jurisdiction. By creating an account you represent that you meet these requirements. The Service is designed for independent landlords and property managers in East Africa managing residential or commercial rental units.

3. Account Registration

You must provide accurate, complete information when registering. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately via support.kodibase.co if you suspect unauthorised access.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable law.
• Submit false, misleading, or fraudulent payment or tenant information.
• Attempt to gain unauthorised access to other users' accounts or data.
• Reverse-engineer, scrape, or otherwise extract data from the platform.
• Resell or sublicense access to the Service without our written consent.

5. Subscription Plans & Payments

KodiBase offers a free tier and paid plans (“Scale” and above). Paid subscriptions are billed in advance on a monthly or annual basis via Flutterwave. Prices are displayed on our Pricing page and are subject to change with 30 days' notice.

All subscription fees are non-refundable except where required by applicable law. If you downgrade mid-cycle, the change takes effect at the start of the next billing period; no partial refunds are issued.

6. Payment Processing

Rent payments collected through tenant portals are processed by Flutterwave, a third-party payment processor. KodiBase does not store card numbers or M-Pesa PINs. Funds are disbursed to your Flutterwave merchant account per their settlement schedule. We are not liable for delays, failures, or errors attributable to Flutterwave or mobile-money networks.

7. Your Data & Content

You retain ownership of all tenant information, payment records, and other data you upload (“Your Content”). You grant us a limited, non-exclusive licence to store and process Your Content solely to provide the Service. We will not sell or share Your Content with third parties except as described in our Privacy Policy.

8. Intellectual Property

The KodiBase name, logo, software, and all related intellectual property are owned by us or our licensors. Nothing in these Terms grants you a right to use our trademarks or brand assets without written permission.

9. Service Availability

We aim for high availability but do not guarantee uninterrupted access. We may perform maintenance with or without advance notice. We are not liable for losses arising from downtime, data loss, or service interruptions.

10. Limitation of Liability

To the maximum extent permitted by law, KodiBase's total liability to you for any claim arising out of or related to the Service is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits or data.

11. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied. We do not warrant that the Service is error-free, secure, or fit for your particular purpose. KodiBase does not provide legal, tax, or financial advice — always consult a qualified professional.

12. Termination

You may delete your account at any time from the Settings page. We may suspend or terminate your access immediately if you breach these Terms or if we are required to do so by law. Upon termination, your right to use the Service ceases; we will retain your data for 30 days and then delete it unless required by law to keep it longer.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you by email or in-app notice at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of Kenya. Any disputes shall be subject to the exclusive jurisdiction of the courts of Nairobi, Kenya.
